Wholesale Terms and Conditions

1. Acceptance of Terms

By registering for a REYR Gear wholesale account, placing orders, or accepting delivery of REYR Gear products ("Products"), you ("Retailer" or "you") agree to be bound by these Wholesale Terms and Conditions ("Terms"), our Minimum Advertised Price Agreement ("MAP Agreement"), and any other policies referenced herein.

If you do not agree to these Terms, do not register for or use our wholesale program.

2. Wholesale Account Approval

2.1 Application Process
All wholesale applications are subject to review and approval by REYR Gear. We reserve the right to accept or decline any application at our sole discretion.

2.2 Account Information
You agree to provide accurate, current, and complete information during registration and to update such information as needed. You are responsible for maintaining the confidentiality of your account credentials.

2.3 Right to Refuse Service
REYR Gear reserves the right to refuse service, terminate accounts, or cancel orders at our discretion, including but not limited to situations where we determine that the Retailer's business model, practices, or values are not aligned with REYR Gear's brand standards.

3. Minimum Advertised Price (MAP) Agreement

3.1 MAP Compliance Required
All authorized REYR Gear retailers must agree to and comply with our MAP Agreement, which is incorporated into these Terms by reference. The MAP Agreement protects brand reputation, value, and channel health.

3.2 Current MAP
As of the effective date of these Terms, the MAP for all First Cast Fly Rod products is $299 USD. REYR Gear may update MAP pricing with 30 days written notice.

3.3 Advertising Requirements

  • You must not advertise any Covered Product below MAP in any public channel
  • You must match REYR Gear's publicly listed prices except during Authorized Promotional Periods
  • Authorized Promotional Periods include Memorial Day and Black Friday/Cyber Monday (BFCM)
  • You may offer first-purchase discount codes (e.g., "$25 off") that apply at checkout without reducing the publicly displayed price

3.4 Prohibited Practices
You may not:

  • Display prices below MAP on websites, marketplaces, social media, emails, or in-store signage
  • Use strikethrough pricing that implies a current price below MAP
  • Promote bundles or sitewide discounts that result in an effective advertised price below MAP without written approval

3.5 MAP Violations
Violations of the MAP Agreement will result in corrective action, including but not limited to suspension of shipments, removal of wholesale benefits, or immediate termination of your wholesale account. See Section 11 for enforcement details.

4. Pricing and Price Catalogs

4.1 Wholesale Pricing Structure
REYR Gear offers competitive wholesale pricing to authorized retailers. The standard wholesale discount is 45% off MSRP, as stated on our wholesale information page. However, wholesale pricing is subject to the following:

4.2 Tiered Price Catalogs
You may be assigned to a specific wholesale price catalog based on your business type, order volume, market position, or other factors determined by REYR Gear. Price catalog tiers may include but are not limited to:

  • Authorized Retailers (fly shops, outdoor retailers)
  • Outfitters and Guide Services
  • Outdoor Professionals and Influencers
  • Strategic Partners
  • International Distributors

4.3 Price Changes
REYR Gear reserves the right to modify wholesale pricing, including your assigned price catalog, at any time with reasonable notice. Price changes will not apply retroactively to orders already placed and confirmed.

4.4 Currency
All prices are stated in USD unless otherwise specified. International orders may be subject to currency conversion and additional fees.

5. Ordering and Payment

5.1 Minimum Orders
Minimum order quantities may apply and will be communicated during account setup. We strive to offer flexible minimums suitable for shops of all sizes.

5.2 Order Confirmation
Orders are subject to acceptance by REYR Gear. We will confirm order acceptance via email. We reserve the right to refuse or cancel any order.

5.3 Payment Terms

  • Payment is due as specified in your wholesale account terms (typically net 30 days from invoice date for approved accounts)
  • First-time orders may require payment in advance via credit card or ACH
  • Late payments may result in suspension of future orders and assessment of late fees

5.4 Taxes
You are responsible for all applicable sales taxes, VAT, duties, and customs fees. If you provide a valid resale certificate, you may be exempt from sales tax on wholesale purchases.

6. Shipping and Delivery

6.1 Shipping Costs
Shipping costs will be calculated based on order size, destination, and shipping method selected. Free shipping thresholds may apply for qualifying orders.

6.2 Delivery Times
Estimated delivery times are provided in good faith but are not guaranteed. REYR Gear is not liable for delays caused by carriers, customs, or events beyond our reasonable control.

6.3 Risk of Loss
Risk of loss and title for Products pass to you upon delivery to the carrier.

6.4 Inspection
You must inspect shipments upon receipt and report any damage or discrepancies within 5 business days of delivery.

7. Returns, Defects, and Warranties

7.1 Defective Products
REYR Gear stands behind our products. If you receive defective Products, contact us within 30 days of receipt for a replacement or credit.

7.2 Returns and Exchanges
Returns of non-defective Products are evaluated on a case-by-case basis and require advance written approval from REYR Gear. Returned Products must be in new, unused, and resalable condition. Restocking fees may apply.

7.3 End Customer Warranties
REYR Gear provides a limited warranty to end customers as described on our website and in product materials. You agree to honor and facilitate warranty claims for Products sold to your customers.

8. Intellectual Property and Brand Assets

8.1 Trademark License
REYR Gear grants you a limited, non-exclusive, non-transferable license to use REYR Gear trademarks, logos, and product images solely for the purpose of marketing and selling authorized REYR Gear Products during the term of this agreement.

8.2 Authorized Use Only
You may only use brand assets provided or approved by REYR Gear. You may not:

  • Modify, alter, or create derivative works from REYR Gear assets
  • Use REYR Gear trademarks in your business name or domain name
  • Imply endorsement, partnership, or affiliation beyond your role as an authorized retailer
  • Use assets in any way that damages or dilutes the REYR Gear brand

8.3 Unauthorized Use
Use of unauthorized assets, logos, product images, or marketing materials is prohibited and constitutes a material breach of these Terms.

8.4 Termination of License
Upon termination of your wholesale account, you must immediately cease all use of REYR Gear trademarks, logos, and brand assets and remove them from all marketing materials, websites, and signage.

9. Marketing and Channel Restrictions

9.1 Authorized Sales Channels
You may sell REYR Gear Products through brick-and-mortar retail locations and your own e-commerce website unless otherwise restricted.

9.2 Third-Party Marketplaces
Sales on third-party marketplaces (e.g., Amazon, eBay) require advance written approval from REYR Gear. Unauthorized marketplace selling is prohibited.

9.3 Marketing Support
REYR Gear may provide marketing materials, content libraries, and co-marketing opportunities to authorized retailers. Use of these materials is subject to our brand guidelines.

10. Confidentiality

You agree to keep confidential all non-public information disclosed by REYR Gear, including but not limited to wholesale pricing, product roadmaps, and business strategies. This obligation survives termination of these Terms.

11. Compliance and Enforcement

11.1 Monitoring
REYR Gear reserves the right to monitor your compliance with these Terms, including advertised pricing, use of brand assets, and sales channel activity.

11.2 Violations
Violations of these Terms include but are not limited to:

  • Advertising below MAP
  • Unauthorized use of brand assets or copyrighted materials
  • Selling through prohibited channels
  • Providing false or misleading information
  • Engaging in practices that harm the REYR Gear brand

11.3 Cure Period
If a violation is identified, REYR Gear may issue a written notice requiring correction within 3 business days, unless the violation is egregious or repeated.

11.4 Remedies
REYR Gear may, at its sole discretion:

  • Issue warnings
  • Suspend order fulfillment
  • Adjust or remove wholesale pricing benefits
  • Terminate your wholesale account immediately

12. Term and Termination

12.1 Term
These Terms become effective upon your acceptance and continue until terminated by either party.

12.2 Termination by REYR Gear
REYR Gear reserves the right to terminate your wholesale account and partnership at any time, for any reason, with or without cause, including but not limited to:

  • Violation of these Terms or the MAP Agreement
  • Non-payment or delinquent account status
  • Change in business direction or market strategy
  • Misalignment with brand values or quality standards

12.3 Termination by Retailer
You may terminate your wholesale account by providing 30 days written notice to REYR Gear.

12.4 Effect of Termination
Upon termination:

  • All outstanding invoices become immediately due
  • You must cease selling REYR Gear Products and using REYR Gear trademarks
  • You must return or destroy all proprietary materials
  • You may sell through existing inventory at or above MAP pricing for up to 90 days unless otherwise directed

13. Limitation of Liability

To the fullest extent permitted by law, REYR Gear shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of Products or participation in the wholesale program.

14. Indemnification

You agree to indemnify and hold harmless REYR Gear from any claims, damages, or expenses arising from your breach of these Terms, violation of laws, or negligent or wrongful conduct.

15. General Provisions

15.1 Entire Agreement
These Terms, together with the MAP Agreement and any other referenced policies, constitute the entire agreement between you and REYR Gear regarding the wholesale program.

15.2 Amendments
REYR Gear may update these Terms at any time by posting revised Terms and notifying wholesale partners. Continued use of your wholesale account constitutes acceptance of updated Terms.

15.3 Governing Law
These Terms are governed by the laws of the State of Utah, without regard to conflict of law principles.

15.4 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in full effect.

15.5 No Waiver
Failure by REYR Gear to enforce any provision does not waive our right to enforce it in the future.

15.6 Assignment
You may not assign or transfer your wholesale account without REYR Gear's prior written consent.
